DB SAMPLES SAMPLE LICENSE AGREEMENT

This License Agreement ("License") governs your use of audio sample content ("Samples") purchased from dbsamples.co ("Db Samples"), operated by Daniel Bloch (p/k/a Daniel Blonde) of Brooklyn, New York ("Licensor"). By purchasing or downloading any Samples, you ("Licensee") agree to these terms.

1. Definitions

"Samples" means audio content in any pack purchased from Db Samples, including drum one-shots, loops, breaks, fills, percussion, and melodic compositions.

"Drums" means drum one-shots, drum loops, breaks, fills, percussion, and any non-melodic rhythmic content.

"Compositions" means melodic, harmonic, or instrumental material, including melodic one-shots, melodic loops, sound design, and FX with tonal content.

"New Work" means your own original music that incorporates the Samples.

"Major Release" means a release through a major label (e.g., Universal, Sony, Warner) or large distributor (e.g., Empire, The Orchard, AWAL), or a New Work that exceeds 10 million streams or sales across all platforms.

2. Grant of License

Upon full payment, Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the Samples in New Work, subject to the terms below. This License includes the right to incorporate Samples into New Work and to release, distribute, sell, stream, perform, or monetize that New Work worldwide up to the thresholds defining a Major Release.

3. Royalty-Free Use of Drums

All Drums in every pack are 100% royalty-free, forever. You may use them in commercial releases of any size, including Major Releases, with no additional clearance, fees, royalties, or attribution required.

No additional licensing is needed for releases on YouTube, SoundCloud, Spotify, Apple Music, BeatStars, Bandcamp, TikTok, vinyl, or any other platform.

4. Compositions, Clearance for Major Releases

Compositions are royalty-free for independent and small to mid scale releases. If a New Work using a Composition becomes a Major Release (per Section 1), Licensee must contact Licensor to clear the Composition before release.

Standard major release clearance terms (Compositions only):

  • Co-producer credit on the New Work.
  • Producer royalty by Composition usage duration:
    • Up to 10 seconds: 0.5%
    • 10 to 30 seconds: 0.75%
    • Over 30 seconds: 1.5%
  • Publishing split by Composition usage duration:
    • Up to 10 seconds: 10%
    • 10 to 30 seconds: 15%
    • Over 30 seconds: 25%

These terms apply only to Compositions, never to Drums.

5. Sync Licensing for Compositions

For use of Compositions in audiovisual works (film, television, advertising, video games, or any visual media), Licensee must obtain a separate sync and master use license. Contact Licensor to negotiate.

Drums do not require a separate sync license.

6. Restrictions

Licensee may NOT:

  1. Resell, share, redistribute, lend, sublicense, give away, or upload the Samples (modified or unmodified) on any platform, sample library, sound pack, drum kit, preset pack, file-sharing site, or similar destination.
  2. Claim ownership or authorship of the Samples themselves.
  3. Register the Samples (or any substantially unaltered portion) with any rights organization, content-ID system, or copyright registry.
  4. Use the Samples to train, fine-tune, or condition any artificial intelligence, machine learning, or generative audio model or dataset, whether public, commercial, internal, or research.
  5. Use the Samples in unlawful, defamatory, or infringing works.

7. Ownership

Licensor retains full copyright ownership of all Samples (including Compositions and recordings). This License grants usage rights, not ownership. Licensee retains full ownership of New Work created using the Samples, subject to the major release clearance and sync provisions above.

8. Attribution

Credit to Db Samples or Daniel Blonde is welcome but never required.

9. Transferability

This License is granted to Licensee personally, or to a single business entity if purchased on behalf of one. It cannot be transferred, assigned, or sublicensed. Collaborators on a New Work are covered for that specific New Work but do not receive a separate license to use the Samples in their own projects.

10. Termination

This License remains valid unless Licensee exceeds Major Release thresholds without clearance, or breaches any other term of this Agreement. In either case, the License terminates automatically. New Work released in compliance with the License before termination may continue to be distributed.

11. Indemnification

Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, or liabilities arising from misuse of the Samples or violation of this Agreement.

12. No Warranty

Samples are provided "as is" without warranty of any kind. Licensor does not guarantee fitness for any particular purpose or freedom from defects.

13. Limitation of Liability

Licensor's total liability under this License is limited to the amount Licensee paid for the Samples. Licensor is not liable for indirect, consequential, or incidental damages.

14. Governing Law

This License is governed by the laws of the State of New York. Disputes shall be resolved in the state or federal courts located in Kings County, New York.
